1. Acceptance of Terms

Welcome to PromptTK! These Terms of Service ("Terms") govern your access to and use of the PromptTK website, application, and services (collectively, the "Service") provided by PromptTK ("PromptTK," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, found at prompttk.com/privacy-policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.

2. Description of Service

PromptTK provides an AI-powered tool designed to assist users with prompt engineering and the generation of training datasets for fine-tuning artificial intelligence models. The Service may include features for creating, managing, analyzing, and exporting prompts and datasets. We may update, modify, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

3.1. Registration

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information. You are responsible for updating your information to keep it accurate and complete.

3.2. Account Security

You are responsible for safeguarding your account password and any other credentials used to access your account. You agree not to disclose your password to any third party. You are solely responsible for any activities or actions taken under your account, whether or not you have authorized such activities or actions. You must notify us immediately at support@prompttk.com of any unauthorized use of your account.

3.3. Age Restriction

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

4. User Conduct and Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any data, text, information, prompts, datasets, or other materials ("User Content") that you submit, post, or display on or via the Service. You agree not to:

• Use the Service in any way that violates any applicable national or international law or regulation.
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• Submit, upload, or generate User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Service.
• Use the Service to create or disseminate malware, viruses, or any other harmful or disruptive code.
• Use the Service to generate content that is designed to mislead, deceive, or impersonate others.
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
• Attempt to gain unauthorized access to the Service, other user accounts, or our computer systems or networks.
• Generate content that promotes discrimination or violence against individuals or groups based on attributes such as race, gender, religion, nationality, disability, sexual orientation, or age.

5. Content and Intellectual Property

5.1. Your User Content

You retain ownership of all intellectual property rights in your User Content that you create, submit, or generate using the Service. However, to enable us to operate, provide, and improve the Service, you grant PromptTK certain rights.

For all users, you grant PromptTK a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely to the extent necessary to provide and operate the Service for you.

For users on non-enterprise plans: In addition to the license above, you grant PromptTK a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content (including prompts and generated datasets) and any feedback you provide, in any media, for the purposes of operating, developing, providing, improving, and promoting the Service and our other products and services. We will endeavor to anonymize or aggregate this data where feasible, but you acknowledge that this may not always be possible for AI model training and improvement. If you are an Enterprise plan user, your User Content will be handled according to your specific enterprise agreement.

You represent and warrant that you have all necessary rights, licenses, consents, and permissions to grant the foregoing licenses and that your User Content does not and will not infringe, misappropriate, or violate any third-party rights (including intellectual property rights or rights of privacy or publicity).

5.2. PromptTK Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by PromptTK, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted through the Service's functionality.

5.3. Feedback

We welcome any feedback, comments, ideas, proposals, and suggestions for improvements to the Service ("Feedback"). If you provide any Feedback, you agree that we may use such Feedback for any purpose, without any restriction or compensation to you.

6. Fees, Tokens, and Payment

6.1. Tokens

Access to and use of certain features of the Service may require "Tokens." Tokens are the unit of value within the Service used to perform actions or access functionalities.

Upon signing up for an account, you may receive an initial grant of 1000 (one thousand) Tokens free of charge ("Promotional Tokens"). Promotional Tokens are subject to expiration and any specific terms provided at the time of issuance.

6.2. Purchase of Tokens

Additional Tokens may be purchased through the Service ("Purchased Tokens"). The price and quantity of Tokens available for purchase will be displayed at the point of sale. All purchases are final and non-refundable except as required by applicable law or as otherwise stated by us in writing.

6.3. Use and Expiration of Tokens

Tokens have no monetary value outside of the Service and cannot be exchanged for cash or other currencies. Tokens are non-transferable between accounts unless explicitly permitted by PromptTK.

The number of Tokens required for specific actions or features will be indicated within the Service. We reserve the right to change the Token cost for any action or feature at any time.

Purchased Tokens may be subject to an expiration date, which will be communicated at the time of purchase or in your account details. Failure to use Purchased Tokens before their expiration date will result in their forfeiture without refund.

6.4. Payment

If you choose to purchase Tokens, you agree to pay all applicable fees ("Fees") as described on our website or application at the time of purchase. You authorize us (or our third-party payment processor) to charge your chosen payment method for the Fees.

All Fees are exclusive of applicable taxes (e.g., VAT), which you are responsible for paying. We may change our Fees and payment policies from time to time. We will provide you with reasonable prior notice of any changes in Fees by posting the new Fees on our website or sending you an email notification.

7. Term and Termination

7.1. Term

These Terms will remain in full force and effect while you use the Service.

7.2. Termination by You

You may terminate your account and stop using the Service at any time by using the account deletion feature in your account settings, or by contacting us at support@prompttk.com. Upon termination, any unused Tokens, whether Promotional or Purchased, will be forfeited without refund unless otherwise required by law.

7.3. Termination by PromptTK

We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for such termination may include, but are not limited to, (a) a breach of these Terms, (b) a request by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification of the Service, or (e) unexpected technical or security issues or problems. If we terminate your account without cause, we may, at our discretion, offer a refund for unused Purchased Tokens.

7.4. Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If your account is terminated, we may, in our sole discretion, delete your User Content, though we are not obligated to do so, except as required by applicable law or as specified in our Privacy Policy or your enterprise agreement (if applicable).

8. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PROMPTTK DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOU ACKNOWLEDGE THAT THE OUTPUTS GENERATED BY AI MODELS, INCLUDING THOSE FACILITATED BY PROMPTTK, MAY BE INACCURATE, INCOMPLETE, OR BIASED. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY, APPROPRIATENESS, AND LEGALITY OF ANY CONTENT GENERATED THROUGH THE SERVICE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROMPTTK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING ANY OUTPUTS GENERATED BY AI MODELS;
• (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF (I) THE AMOUNT YOU HAVE PAID TO PROMPTTK FOR TOKENS OR OTHER SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED POUNDS STERLING (£100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless PromptTK and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

We encourage you to contact us directly at legal@prompttk.com in the first instance if you have any dispute or concern arising out of or relating to these Terms or the Service, to seek an informal resolution.

If a dispute cannot be resolved informally, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of England and Wales.

13. Miscellaneous

13.1. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or terms published by us on the Service (including any enterprise agreement, if applicable), constitute the entire agreement between you and PromptTK concerning the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, concerning the Service.

13.2. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

13.3. Waiver

No waiver by PromptTK of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of PromptTK to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

13.5. Notices

Any notices or other communications provided by PromptTK under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Service. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
